Terms and Conditions of Use of Stable App
STABLE APP LLC, a limited liability company organized under the laws of the State of Delaware, United States of America, identified with EIN 50-18840 ("Stable", "Stable App", or the "Company"), sets forth these Terms and Conditions of Use (the "Terms") governing access to and use of the mobile application, website, and other technology interfaces associated with the Stable brand (the "App"), as well as the products and services made available to users through the App (the "Services").
By downloading, accessing, or using the App, the User represents that they have read, understood, and fully accepted these Terms and agrees to comply with them. If the User does not agree to these Terms, the User must refrain from using the App and the Services.
I. Definitions
For purposes of these Terms, the following defined terms shall have the meanings set forth below:
1.1. "Stable App" or "App"
A technology platform developed and operated by Stable that enables Users to acquire Stable Dollars, maintain a balance in a digital wallet, conduct transactions, and use enabled payment methods (including, where applicable, the Stable Card), in accordance with the functionalities available from time to time.
1.2. "User(s) or Client(s)"
A natural person, over eighteen (18) years of age, with legal capacity to contract, or a duly represented legal entity, that downloads the App, creates an account, opens its Wallet, acquires Stable Dollars, and/or uses any of the Services. Stable is not directed to minors. By accepting these Terms, the User declares, under oath, that they are at least 18 years old.
1.3. "Stable"
Refers exclusively to STABLE APP LLC, including, where applicable, its subsidiaries, affiliates and service providers acting on its behalf for the operation of the App and Services.
1.4. "Service(s)"
The services made available to the User through the App, once the User successfully registers, completes the customer due diligence process (KYC / Know Your Customer), and is approved by Stable. These services include, among others, the ability to acquire Stable Dollars, view the balance in the Wallet, use enabled payment methods, conduct certain transactions, and access benefits or experiences promoted by Stable.
1.5. "Stable Dollar(s)"
An internal digital right within the Stable platform that functions as a unit of account referenced to the value of one (1) United States dollar. Stable Dollars may be acquired by the User through the App and used in accordance with the permitted functionalities (for example, payments at affiliated merchants or permitted transactions within the Stable ecosystem). Stable Dollars do not constitute money in a legal sense, are not a deposit, are not a banking product, are not a savings account, are not a certificate of term deposit (CDT), nor any other financial product regulated in Colombia. They are not covered by deposit insurance schemes such as FOGAFIN or similar government guarantees.
1.6. "Wallet"
A digital wallet associated with the User's account in the App, in which the available Stable Dollars balance is recorded, as well as movements (acquisitions, uses, transfers, redemptions, or other permitted transactions).
1.7. "Stable Card"
A physical and/or virtual card issued by or for Stable, directly or through third-party partners, that allows the User to use their balance (where applicable) to make payments at establishments that accept such payment method, in accordance with the issuer's specific terms.
1.8. "Terms and Conditions" or "Terms"
This document, which governs the legal relationship between Stable and the User in connection with the use of the App and the Services.
II. Purpose of the Terms
These Terms govern the conditions under which the User accesses and uses the App and the Services offered by Stable, and establish rules regarding the nature of Stable Dollars, the scope and limitations of Stable's liability, and the User's obligations.
Use of the App is also subject to the Privacy Policy, the Data Retention and Deletion Policy, and any other policies that Stable adopts and publishes, which are incorporated into these Terms by reference.
III. Eligibility, Registration and User Account
- Only natural persons over 18 years of age, with full legal capacity, may register as Users.
- To create an account, the User must:
- Download the App.
- Complete the registration form with true, and up-to-date information.
- Expressly accept these Terms and the applicable policies.
- Complete the KYC process defined by Stable (including identity validations, biometrics, document verification, among others).
- Stable may approve or reject a User's registration at its sole discretion, particularly where risk alerts, inconsistencies in information, or regulatory non-compliance are identified.
- The User is responsible for maintaining the confidentiality of their access credentials and for any activity carried out using their account. Any use of the account shall be presumed to have been made by the User, unless proven otherwise.
IV. Description of the Platform and the Services
- Stable App is a technological platform that allows the User to:
- Acquire Stable Dollars through enabled funding mechanisms.
- Maintain a balance in their Wallet within the App.
- Use Stable Dollars for permitted transactions (for example, payments at affiliated establishments, transfers within the ecosystem, redemptions when available).
- Access, where applicable, the Stable Card or other associated payment methods, issued by third-party partners.
- Stable may, at any time, add, modify, or remove functionalities, and may limit or temporarily suspend access to the App for technical, security, maintenance, or regulatory compliance reasons.
- The User's relationship is established exclusively with STABLE APP LLC. Partners, payment processors, card issuers, and other third parties are independent of Stable, even if they provide services integrated into the User experience.
V. Nature of Stable Dollars and Regulatory Warnings
- Stable Dollars are internal digital units within the Stable platform that reflect a right of use within the Stable ecosystem, referenced to the value of one (1) United States dollar in accordance with criteria defined by the Company.
- The User expressly acknowledges and agrees that:
- Stable Dollars are not cash or legal tender.
- Holding Stable Dollars does not constitute a money deposit, savings account, CDT, investment fund, insurance contract, or any other financial product regulated in Colombia.
- Stable App LLC is not an entity supervised by the Superintendencia Financiera de Colombia, and Stable Dollars are not covered by FOGAFIN or any deposit insurance scheme or similar government guarantee.
- The platform is designed as a technology solution for payments and use of digital rights, not as a mechanism for savings, investment, or public fund-taking.
- While Stable seeks to maintain parity between Stable Dollars and the value of the U.S. dollar, the Company does not absolutely guarantee the stability of such value, and variations may occur due to market conditions, technological, operational, or third-party risks.
- The User assumes technological, operational, counterparty, market, custody, and any other risks inherent to the use of digital payment solutions and reference to underlying assets (such as stablecoins or treasury instruments), even when managed by third-party partners.
VI. Use of the Wallet and the Stable Card
- The Wallet allows the User to view their Stable Dollars balance and related movements.
- The User may only use the Wallet and Services in accordance with applicable law and these Terms, and shall refrain from engaging in unlawful or unauthorized activities (including, without limitation, fraud, money laundering, terrorist financing, or similar activities).
- If the User has a Stable Card (physical or virtual):
- The card is issued by or through third-party partners, subject to their own terms and contracts.
- Use of the card is governed by these Terms as well as the issuer's conditions, payment networks, and affiliated merchants.
- Stable is not responsible for the quality, quantity, price, delivery, or warranty of goods and services purchased with the card or through payment methods linked to the Wallet.
VII. User Obligations
The User undertakes, among other obligations, to:
- Provide true, complete, accurate, reliable, and verifiable information, and keep it updated.
- Not create simulated or false accounts, or accounts for third parties without due representation.
- Not share access credentials or allow use of the account by unauthorized third parties.
- Not use the App or Services for purposes not contemplated in these Terms, or for unlawful, fraudulent activities, or activities contrary to applicable regulations in any jurisdiction.
- Not perform reverse engineering, decompilation, copying, or unauthorized exploitation of the App's code, content, or interfaces.
- Comply with limits, caps, restrictions, and controls implemented by Stable for security, risk, or compliance reasons.
- Hold Stable harmless from claims, sanctions, or damages arising from misuse of the App, breach of these Terms, or violation of applicable laws by the User.
- By using the App, the User declares that they are over eighteen (18) years old and have legal capacity to enter contracts.
VIII. Stable's Rights
Stable may, among other rights:
- Request additional information from the User, update KYC and monitoring processes, and perform periodic verifications.
- Block, freeze, or limit — temporarily or permanently — access to the account, Wallet, or Services when it detects:
- unusual or suspicious transactions,
- breach of these Terms,
- requests or requirements from authorities, or
- relevant fraud, security, or compliance risks.
- Modify, update, or discontinue the App or specific functionalities, informing the User when reasonable.
- Charge fees or commissions for the Services, provided such fees are disclosed in advance in the App or through authorized channels.
IX. Operation of the App
I.1. The App is not guaranteed to be free of viruses or other elements that could cause alterations to the Client's computer system. Accordingly, Stable is not responsible for damages of any kind resulting from such events.
I.2. The App will be available 24 hours a day, 365 days a year, except for scheduled downtime for maintenance, updates, or other circumstances beyond Stable's control. Notwithstanding the foregoing, Stable reserves the right to interrupt the App when technical repairs, maintenance, and/or improvements are required, and to suspend or discontinue, temporarily or permanently, access to the App, with or without prior notice. To the extent possible, Stable will provide advance notice of interruptions due to foreseeable circumstances, such as maintenance and connectivity outages.
I.3. Stable does not guarantee uninterrupted availability and continuity of the App; therefore, any liability is excluded for damages of any nature arising from lack of availability or continuity of the App.
I.4. Stable strives to ensure that information in the App is accurate and up to date; however, it does not guarantee the accuracy, completeness, or timeliness of such information. Stable reserves the right to correct any error, inaccuracy, or omission and to change or update information at any time without prior notice.
I.5. Stable assumes no obligation to monitor the Client's correct, prudent, and diligent use of the App, or the information provided through the App. Accordingly, Stable is not responsible for damages to the Client and/or third parties of any kind caused by improper use of the App, lack of truthfulness or authenticity of information provided by the Client to Stable, or identity impersonation of the Client.
I.6. Stable reserves the right to verify the Client's identity and the truthfulness and authenticity of the data provided, without being obligated to do so.
I.7. Stable shall not be responsible for the consequences of attacks or security incidents against the App or its information systems, nor for any unauthorized, fraudulent, or unlawful exposure or access that may affect the confidentiality, integrity, or authenticity of information published in the App or associated with the Products offered therein.
I.8. Stable is not responsible for information provided by Clients through the App. In any event, Stable will not use the information and/or personal data provided by the Client for purposes other than those authorized in the Privacy Policy.
I.9. Stable is not responsible for any damage or loss arising from use of, or inability to use, the App, including, without limitation, direct, indirect, incidental, consequential, or punitive losses. Use of the App is at the Client's own risk.
X. Prohibited Use of the App
The User agrees and understands not to use the App to:
IV.1. Violate the law or any Colombian or international regulation.
IV.2. Impersonate or pretend to be Stable, a Stable employee, another Client, or any other person or entity connected to Stable.
IV.3. Engage in conduct that restricts or inhibits any person's use and/or enjoyment of the App, or that, as determined by Stable, may harm the Company or the App.
IV.4. Carry out fraudulent or deceptive acts, in any manner, to obtain unjustified benefits through the App.
IV.5. Attempt to obtain unauthorized access to, interfere with, damage, or disrupt any part of the App, the server, or its database.
XI. Use of Cookies and Other Technologies
Stable uses cookies and other technologies in the App and in emails sent to users. These tools allow Stable to collect navigation statistics and record activity in the App, in order to optimize functionality and improve the user experience, in accordance with applicable law and best practices in data protection.
In compliance with applicable law and best practices regarding personal data protection, data collected by Stable through cookies and other technologies includes, but is not limited to: (i) pages visited; (ii) duration of each visit; (iii) IP address; (iv) device type (mobile or computer); (v) operating system in use; among others.
First paragraph. Users may configure their browsers to reject cookies; however, disabling cookies may affect the availability and proper functioning of certain App features.
XII. Limitation of Liability
- Stable undertakes obligations of means and not of result in providing the Services.
- To the maximum extent permitted by applicable law, Stable shall not be liable for:
- indirect, incidental, special, consequential damages, loss of profits, or loss of chance arising from use of, or inability to use, the App.
- failures in telecommunications networks, internet services, third-party service providers, payment networks, or financial institutions involved in transactions.
- losses arising from misuse of the account by the User or third parties who obtained the User's credentials due to causes attributable to the User (for example, negligence in handling passwords or devices).
- acts or omissions of third parties, regardless of any relationship such third parties may have with Stable.
- In any event, and except in cases of proven willful misconduct (dolo) or gross negligence (culpa grave) by Stable, Stable's maximum aggregate liability to the User arising out of or related to the Services shall be limited to the U.S. dollar value equivalent to the Stable Dollars balance that the User maintained in the Wallet at the time of the event giving rise to the claim, subject to applicable legal caps.
XIII. Capacity
The Client declares that they are over eighteen (18) years of age and are fully authorized to be bound by these Terms and Conditions. If any person uses the App on behalf of a legal entity or a third party, such person represents that they are fully authorized to bind such legal entity or third party under these Terms and Conditions. If the person is not authorized, the applicant shall be personally responsible for obligations incurred under these Terms and Conditions. Stable reserves the right to request documents or evidence it deems necessary to identify the person making requests, upon any request by a User, a third party, or on its own initiative. The User undertakes to provide the documents required to verify their identity, and failure to comply shall constitute sufficient cause for Stable to reject any request for any product offered through the App.
XIV. Regulatory Compliance and AML/TF Prevention
- The User acknowledges that Stable implements policies and procedures for anti-money laundering and counter-terrorist financing prevention (LA/FT) and regulatory compliance, including KYC processes, transaction monitoring, and reporting to competent authorities when applicable.
- The User authorizes Stable to perform validations, queries, and checks against restrictive lists and risk databases, directly or through specialized third parties.
- Stable may refuse to initiate or maintain a relationship with a User, or to execute certain transactions, where doing so is incompatible with its risk policies or applicable regulations.
XV. Intellectual Property
- The App, software, designs, logos, trademarks, trade names, content, interfaces, and any other protected elements are owned by Stable or its licensors.
- The User is granted a limited, personal, non-exclusive, revocable, and non-transferable license to use the App and the Services strictly in accordance with these Terms.
- The User does not acquire any intellectual property rights by the mere use of the App.
XVI. Personal Data Protection
- Processing of the User's Personal Data shall be governed by Stable's Privacy Policy and its Data Retention and Deletion Policy, available through official channels.
- By accepting these Terms and using the App, the User acknowledges that they have read and understand such policies and grant the authorizations described therein.
XVII. Amendment of the Terms
17.1. Non-material changes. Stable may modify, update, or supplement these Terms to incorporate non-material adjustments (for example, formatting corrections, drafting clarity improvements, operational updates that do not reduce the User's rights or impose new material obligations). Such changes may become effective upon publication or on the date indicated.
17.2. Material changes and prior notice. When a modification is material, Stable will inform the User with reasonable advance notice and indicate a future effective date. Material changes include, among others, those that: (i) introduce new fees or increase existing fees; (ii) impose relevant restrictions on use of the Services; (iii) substantially modify eligibility or access rules; or (iv) materially affect the User's rights or obligations.
17.3. Right not to continue. If the User does not agree with a material change, the User may stop using the App and request cancellation of their account and/or the Services, in accordance with the applicable procedures, before the effective date of the material change. Continued use after the effective date, provided prior notice was given, will be deemed acceptance of the change.
17.4. Promotional programs and benefits. Benefit, promotional, or loyalty programs offered by Stable (including Stable Points) are governed by their specific terms. In any event, material modifications to such programs: (i) must be communicated with reasonable prior notice; (ii) will apply prospectively and will not retroactively affect points or benefits already credited under the rules in effect at the time of crediting; and (iii) where applicable, will include a transition regime and/or a redemption window under the prior rules.
XVIII. Suspension and Termination
- The User can cancel their account at any time, following the procedures provided in the App, without prejudice to any outstanding obligations.
- Stable may suspend or terminate the relationship with the User, and block access to the App, in the following cases, among others:
- Breach of these Terms or Stable's policies.
- Suspicion of fraud, misuse of the account or unlawful activities.
- Requirements from competent authority.
- Closure, substantial modification or discontinuation of the Platform.
- Termination does not affect obligations that, by their nature, must survive (for example, retention of records for legal purposes).
XIX. Governing Law and Jurisdiction
For Users, the governing law applicable to the Services offered by Stable through the App shall be, as relevant, the law of the State of Delaware, United States of America. The User and Stable agree to submit any dispute arising out of these Terms to the dispute resolution mechanisms that Stable defines (direct negotiation, mediation, arbitration, or competent ordinary courts), as specified from time to time in updated versions of these Terms.
XX. Severability
If any provision of these Terms is determined to be illegal, void, or unenforceable, such provision shall be enforceable to the maximum extent permitted by applicable law, and the invalid or unenforceable portion shall be deemed severed without affecting the validity or enforceability of the remaining provisions.
